1 Introduction

1.1 Please read this Licence Agreement carefully. The Licence governs your use of Licensed Material provided by STEAM – Museum of the Great Western Railway (“we” or “us”). It is applicable to online, digital and physical delivery of Licensed Material. In particular, we draw your attention to clause 8 (Liability). By clicking on the “I Accept” button at the bottom of this Licence Agreement you agree to be legally bound by it.

1.2 If you do not wish to be bound by this Licence Agreement then you will not be able to order or use Licensed Material.

2 Definitions

2.1 In this agreement:

2.1.1 “Licensed Material” means any still image generated electronically, digitally or by negatives, transparencies, prints or any other means (or any Reproductions of the same) licensed to you under the terms of this agreement. Any reference in this agreement to Licensed Material shall be to the whole or part of any Licensed Material.

2.1.2 “Reproduction” means any and all forms of copying, publication, distribution or other communication to the public, of the whole or part of any Licensed Material means whether or not such Reproduction is of any Licensed Material in its original form, a modified form, or as part of any other image or graphical representation.

2.1.3 “Site” means the website www.steampicturelibrary.com.

3 Licence

3.1 When your payment is accepted, STEAM grants you a non-exclusive, non-transferable licence to use the Licensed Material you have ordered, on the terms and conditions of this Licence Agreement limited to the uses, medium, period of time, print run, number of times of use, placement size, territory or any other restriction selected by you when ordering from the Site and as listed on the order confirmation.

3.2 Except as expressly set out in this Licence Agreement, you acquire no rights, including without limitation copyright and other intellectual property rights, in the Licensed Material other than a Licence granted in accordance with these terms.

3.3 You will have to make a new application for any Reproduction other than as specified under any order confirmation issued pursuant to this Licence Agreement.

3.4 Reproduction of Licensed Material must carry a credit line: “STEAM – Museum of the Great Western Railway, Swindon” or as otherwise notified to you. The credit line must appear adjacent to individual images and/or screen displays and on screen end credits for film or television programmes where Licensed Material is screened.

3.5 No adaptation, alteration, cropping, manipulation or other use which is derogatory to the subject matter of any Licensed Material or STEAM, is permitted.

3.6 Where Licensed Material is supplied under a “Single Copy” licence reproduction is not permitted.

3.7 We may terminate this Licence Agreement at any time if you are found to be in breach of any of these terms and if you are notified of termination, you must destroy all of your copies of all Licensed material supplied. All permission, general or express, to download, use or reproduce any Licensed Material is withdrawn on termination.

4 Releases

4.1 No model release or other release or permission regarding names, people, uniforms, trade marks, logos, copyright or designs depicted in any Licensed Material has been obtained by STEAM unless you are specifically given written notification of the existence of any release or permission.

4.2 You are responsible for obtaining any release or permission that may be required by you in connection with any use of the Licensed Material.

5 Payment

5.1 Our prices for Licensed Material including where appropriate selected uses, and the procedures for payment are calculated and displayed on the Site prior to payment. You must pay by credit or debit card, or via other payment services offered on the Site, at the time of order. The price is the price in force at the date and time of your order. We may change the price of the Licensed Material before you place an order. Payment in full is required and before any order will be accepted.

5.2 STEAM is entitled to refuse any order placed by you. On acceptance STEAM will send you an order confirmation confirming the transaction details and Reproduction rights granted with respect to the Licensed Material. For orders for downloadable Licensed Material a link to allow you to download the Licensed Material will be made available to you. Making that link available to you constitutes performance of our services and you will have no right to cancel the contract once we have done so.

5.3 Sales taxes (Value Added Tax) at Standard UK rates are payable on all orders for which a price is charged.

6 Disclaimer

6.1 No warranty is given in relation to the Licensed Material the subject of this Agreement.

6.2 STEAM has used reasonable efforts to caption Licensed Material correctly but does not warrant the accuracy of any such captions.

7 Returns

7.1 At STEAM’s option, STEAM may grant you a refund or provide you with replacement Licensed Material if it is not what you ordered, or is not of satisfactory quality and you notify us of the details of any non-compliance as soon as possible.

7.2 Other than set out above you may not return any Licensed Material as it constitutes your personal selection.

8 Liability

8.1 In relation to any Licensed Material ordered by you, we accept no liability for any indirect or consequential loss or damage, or for any loss of data, profit, revenue or business (whether direct or indirect), however caused, even if foreseeable.

8.2 If we are liable to you for any reason, our liability will be limited to the amount paid by you for the Licensed Material concerned. This limit does not apply to any liability we may have for death or personal injury resulting from our negligence.

9 General

9.1 Nothing in this Agreement will preclude or otherwise affect your statutory rights. If you are a consumer and you have any doubts about your statutory rights, you should contact your local Trading Standards Department or Citizens Advice Bureau.

9.2 This Agreement should be read in conjunction with the applicable Website Terms of Use.

9.3 The services provided via the Site are managed and delivered on STEAM’s behalf by Media Storehouse Limited. Therefore payment transactions will appear on your bank statement under the name “Media Storehouse”.

9.4 This Agreement is governed by English law and subject to the exclusive jurisdiction of the English court.
